VIDEO CHATHOST LICENSE AGREEMENT For Licensee (hereafter VIDEO CHATHOST) agrees that during those periods which VIDEO CHATHOST hosts and operates a "video chat room" accessible via the internet, through approved services such as Worldclass V.C located at http://www.worldclassvideochat.com, shall agree to the following: DEFINITIONS: "Video Chathost": A video chathost is an independent information content provider. For purposes of your relationship with Worldclass V.C , you are an independent information content provider and Worldclass V.C is an interactive computer service, available through the internet. "Point-to-Point Communications Session": When you use the Worldclass V.C webcam/chat software to communicate with others, you are directly communicate with them via the internet, through what is called a "point-to-point communications session". Worldclass V.C provides an internet directory service, analagous to a telephone book, whereby users can navigate video chathost listings and through which individuals and video chathosts can locate one another on the internet, and take advantage of miscellaneous ancillary services, such as technical support, website hosting, billing platform and customer services. Like a phone company Worldclass V.C , initially "connects" both sides of the conversation, after which the conversation may travel through different paths through the telephone (or in this case, the internet) network. As a result, your conversations with others, and their conversations with you take place directly through thWorldclass V.C e internet in a point-to-point communications session, and occur outsde of Worldclass V.C direct control. does not redistribute or rebroadcast your communications. All point-to-point communications sessions shall meet the local laws and regulations applicable in VIDEO CHATHOST's jurisdiction AND in the United States of America; For all point-to-point communications sessions, regardless of category, all visible participants are consenting adults at least 18 years of age, or are of legal age in VIDEO CHATHOST's jurisdiction (whichever is greater), and have previously furnished Worldclass V.C with all age-documentation and agreement forms Video Chathost licenses to Worldclass V.C the exclusive right to present all archived images, motion pictures, audio and text, and works derived from same, which Worldclass V.C together comprise the Video Chathost's past and present Worldclass V.C videochat sessions, to the audience for the purposes of promoting the Worldclass V.C (including derivative, successor and/or affiliated products & services) and Video Chathost's point-to-point communications sessions. By transmitting or providing materials to us, you automatically grant (or warrant that the owner of such rights has expressly granted) us a perpetual, royalty-free, irrevocable, sublicensable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed throughout the universe. In addition, you warrant that all so-called "moral rights" in those materials have been waived. You agree that Worldclass V.C shall hold all copyrights to such derivative works, with a sublicense in perpetuity to you for the sole purpose of using the material on your personal website. Outside of your personal website and Worldclass V.C , the material may not be used for any commercial purpose without the express written consent of Worldclass V.C. You further agree that your Worldclass V.C screenname is the intellectual property of Worldclass V.C , and may therefore not be used on any internet service deemed by ,Worldclass V.C in its sole discretion, as competitive to Worldclass V.C , without the express written consent of .Worldclass V.C Video Chathost possesses all necessary intellectual property rights, interests, and licenses necessary to engage Worldclass V.C in this agreement; All participants have consented to the point-to-point communications session; Video Chathost shall not use any facilities of Worldclass V.C for any commercial purposes whatsoever, except to the extent they mutually benefit Worldclass V.C and the Worldclass V.C video chathost. Without limitation to the foregoing, Video Chathost may not use any facilities of Worldclass V.C to promote or solicit any nonWorldclass V.C - URL or internet service whatsoever which presents services or features that are competitive to Worldclass V.C . Video Chathost may not contact any Worldclass V.C customer, through the Worldclass V.C platform or any other communications platform, for the purpose of circumventing the Worldclass V.C payment platform, including but not limited to, the solicitation or encouragement of the customer to purchase, consume or subscribe to services or features which are competitive to Worldclass V.C (customer theft), and VIDEO CHATHOST indemnifies and holds harmless Worldclass V.C , its officers, directors, and employees against any and all expenses and losses (including reasonable attorneys fees and costs) incurred by Worldclass V.C in connection with any claims of any kind, including, but not limited to, any intellectual property disputes or other disputes or actions that may result from VIDEO CHATHOST's performances. Adherence to Internet Self-Regulation and "Netiquette": (Prohibition of SPAM, UCE and other abusive practices) Worldclass V.C , Worldclass V.C chathosts, and Worldclass V.C members have excellent reputations as good internet "citizens". To preserve that reputation and good will,Worldclass V.C strictly enforces a ZERO-TOLERANCE anti-spam policy. If you are observed using so-called "SPAM" activities in an attempt to drive traffic to or to advertise your Worldclass V.C video chatroom, your Worldclass V.C MySite pages, or any area of the Worldclass V.C platform, your account with Worldclass V.C will be terminated. Use SPAM, and we will throw you off Worldclass V.C . Period. (No questions asked, no explanations accepted). Proper netiquette also includes common good manners and professional courtesy toward others. During your relationship with Worldclass V.C , we ask that you refrain from issuing disparaging, libelous, slanderous, defamatory, false, or otherwise inflammatory and/or negative public remarks concerning fellow Worldclass V.C chathosts,Worldclass V.C customers, or the Worldclass V.C service. (Remember, as a professional Worldclass V.C chathost, you are an independent entrepreneur and businessperson, and are therefore expected to maintain a professional demeanor at all times) No Criminal Background: Chathosts must have no criminal history consisting of investigation, arrest or conviction by law-enforcement agencies for serious crimes. Commitment to Quality, Customer Service & Satisfaction: Chathosts who charge a fee for their Worldclass V.C services must provide Worldclass V.C customers with their complete, undivided attention during all live Worldclass V.C videochat sessions. RELATIONSHIP: For tax and all other purposes, your relationship with Worldclass V.C is not that of employee/employer, through a common-law employee/employer relationship or actual employee/employer relationship. Either party to this business agreement may terminate this relationship with the other party, with not less than 24 hours advance notice, subject to the fulfillment of any outstanding liabilities and/or remaining obligations to the other party. In the event of a material breach of this Agreement, such as SPAM, Worldclass V.C reserves the right to suspend the chathost's account immediately pending 24-hour notification of termination. I understand that if I violate this Worldclass V.C Adult Oath,Worldclass V.C may terminate my account and I may forfeit any credits due me. I understand that I can help keep Worldclass V.C clean by reporting any misconduct I observe, including violations of this Worldclass V.C Adult Oath Sources of Income for Worldclass V.C.
